Special General Meeting – Wed Dec 7 – Astor Hotel

City South Association will be holding a Special General Meeting on Wed Dec 7
at the Astor Hotel (Pulteney Room – Ground Floor) at 6.15pm for 6.30pm start.

This meeting will have the same format as our usual Open Committee Meetings
with the inclusion of a number of changes to the Association’s Constitution and By-Laws to be voted on. Details of the proposed changes are outlined below.

SPECIAL RESOLUTIONS TO ALTER THE CONSTITUTION:
Alterations to Clause 5

1. By substituting the following new subclause 5 a)
for the existing subclause 5 a):

5 a) There will be the following classes of Members:

  1. Business Members whose businesses have an interest in the CSA Precinct and possess a current Australian Business Number (ABN);
  2. Resident Members and Concession Members both of which must reside in the CSA Precinct
  3. Property Owner Members who fully or part own a property which must be situated in the CSA Precinct; and
  4. Honorary Members, at the discretion of the Committee, comprising either:1. A relevant Community Group representative; or 2. Adelaide City Councillors during the time they hold office as such.

2. By substituting the following subclause 5 b) for the existing Clause 5 b):-
5b) The rights and entitlements afforded to Business Members, Property Owner Members and Resident/Concession Members are:

  1. The right to attend and vote at all General Meetings; and
  2.  The right to appoint the Committee.

3. By adding a Document Control Page to the Constitution to formally record changes to the Constitution

PROPOSED CHANGES TO BY-LAWS OF CSA INC
4.1 Proposed definition change of ‘Code of Conduct’ 
Current Definition of ‘Code of Conduct’: ‘Code of Conduct’ means any Committee’s Code of Conduct of CSA from time to time in force;
If agreed, the following change to the definition of ‘Code of Conduct’ in Section 1 of the By-Laws (Page 1 of 4):

4.2 Proposed new class of CSA Membership 
If agreed, the following will be added to Section 2 of the By-Laws (Page 1 of 4):
Property Owner Members who fully or part own a property, which must be situated in the CSA Precinct
4.3 Proposed changes to Subscription Rates: 
If agreed, the following changes to Subscription Rates in Section 3 of the By-Laws (Page 2 of 4):
Current Subscription Rates:
As at the adoption of these By-Laws the following annual subscription rates will apply until further notice:-

  • Business Members – $20.00
  • Resident Members – $10.00
  • Concession Members – $5.00

Proposed Subscription Rates change to:
As at the adoption of these By-Laws the following annual subscription rates will apply until further notice:-

  • Business Members – $50.00
  • Resident Members – $20.00
  • Property Owner Members – $20.00
  • Concession Members – $10.00
